On August 15, 2018, faced with Rena Leddy’s unhinged intransigence and chronic disregard of the law, I was forced to file a petition asking a judge to require the Fashion District BID to comply with the California Public Records Act. Most of the petitions I’ve filed recently have had only to do with BIDs ignoring my requests altogether1 but this one raises interesting and possibly novel issues of how exemptions to the CPRA are to be interpreted in general and in Los Angeles in particular. I’m represented by Abenicio Cisneros and Karl Olson.2

There are four classes of records at issue in this petition. Those are:3

  • Emails between the FDBID and either the South Park BID or DLANC
  • Emails in the possession of BID Board president Mark Chatoff
  • Emails between the BID and Urban Place Consulting
  • Emails in the possession of BID renewal committee chair Linda Becker

Rena Leddy claimed either that such records didn’t exist or that, if they did, the BID could withhold them on the basis of the so-called deliberative process exemption.4 In each of the four cases either there’s independent evidence that responsive records exist or else it defies belief that no records exist. For instance it is not plausible at all that Linda Becker, chair of the BID’s renewal committee, does not possess a single email relevant to the conduct of the BID’s business.5

President Tara Devine Begged Fashion District To Hire Her For BID Consulting At $72,000 But They Hired UPC At $55,000 Instead Even Though Estela Lopez Really Loves President Devine And Steve Heumann Had “Front Row Seat” To President Devine’s Work In “Impossible” Venice — President Devine Admits Against Interest That Purpose Of BID Consulting Is To “Effectuate Approval” Of Municipal Legislation

As you may recall, I’ve been studying the relationships between BIDs and the consultants they hire to guide them through the process of establishing or renewing their BIDs. As part of this work I discovered, e.g., that the Fashion District BID is paying $55,000 to FDBID Executive Directrix Rena Leddy’s former employer Urban Place Consulting for renewal services. But before the Board hired UPC they, acting as the fiscally responsible grownups they are, for whatever reason, presumed to be, solicited proposals from the City’s various BID consultants.

And, although it’s probably not such a surprise given how few BID consultants there are in this City, it turns out that famously shadowy BID consultant Tara Devine submitted a proposal! She didn’t get the job, though, possibly because her bid was almost $20,000 higher than UPC’s. And there are many things to be learned from this document, not least of which is the fact that Tara Devine, utilizing the grammatical voice known technically as “unhinged third person,” refers to herself throughout as “President Tara Devine.”1

The most important information in the document, though, has to do with the scope of services, which contains crucial information for my ongoing project of turning BID consultants in to the Ethics Commission for failing to register as lobbyists. One necessary element of the registration requirement, found in the Municipal Lobbying Ordinance,2 is that a lobbyist be employed “…for the purpose of attempting to influence municipal legislation on behalf of any person.”3

BID renewal requires the City Council to pass two distinct ordinances,4 and this fact is a key element of my my general argument that BID consulting is lobbying. But how much more effective than me arguing for this position to just have President Tara Devine admit herself, in her own words, that when a BID hires her as a consultant they are hiring her to get some legislation passed. Given this admission against interest, she’ll have a hard time arguing that she’s not a lobbyist:

o Ordinance of Intention
o Ordinance of Establishment
o Prop 218 Ballot Issuance

Anyway, the whole document is well worth your time to read, although most of it’s merely mockable rather than substantial. How I Reported Shadowy BID Consultant Tara Devine To The City Ethics Commission For Failing To Register As A Lobbyist Based On Her Work For The South Park BID In 2017

So you may recall that I’ve been working on establishing the fact that BID consulting constitutes lobbying as defined in the Municipal Lobbying Ordinance. I kicked off this project in February with shadowy BID consultant Tara Devine, whom I reported to the Ethics Commission for working as a lobbyist but failing to register as a lobbyist. Meanwhile, if you have no idea what I’m talking about, here is a reasonable introduction to the concepts of both BID consultancy and why it’s almost certainly the kind of thing for which registration with the Ethics Commission is required.

My theory gained some credibility with the discovery that some BID consultants in Los Angeles do register as lobbyists. Since February I’ve been collecting evidence against Ed Henning for his work with the San Pedro BID and also against Urban Place Consulting for their work on Fashion District BID renewal and also Media District BID renewal.

And, of course, against Tara Devine for her ongoing work with the South Park BID. Finally, a few weeks ago I completed a generic argument1 that BID consultancy constitutes lobbying. And this morning I’m pleased to announce that, despite the twisted CPRA-defying machinations of South Park BID director of operations2 Katie Kiefer and her less-than-competent lawyers,3 I have submitted yet another complaint to the Ethics Commission against Tara Devine, this time for her BID consulting for South Park. In Which I Present A General Argument That BID Consultancy Is Lobbying Activity In Order To Simplify And Regularize The Process Of Reporting BID Consultants To The Ethics Commission For Failure To Register

It’s a long term project of mine to turn in as many BID consultants as possible to the City Ethics Commission for failing to register as lobbyists. So far, though, I’ve only managed to report Tara Devine for her work on the Venice Beach BID because the work is so involved. Such a report has two essential components:

  1. An argument that BID consultancy satisfies the definition of lobbying activity found in the the Municipal Lobbying Ordinance at LAMC §48.02.
  2. An argument that a specific BID consultant was paid for sufficiently many hours over sufficiently few months to trigger the registration requirement found in the MLO at LAMC §48.07(A).

It occurred to me recently that the first argument will be the same for all BID consultants, and that therefore it would be possible to streamline the reporting process by writing it up in a generic format that would apply to any given BID consultant. So that’s what I did, and you can read the result here. I will be using this to make a number of complaints against BID consultants in the near future, which I will report on here.

A couple days ago I published a collection of Rena Leddy’s reports to the Board of Directors of the Fashion District BID. This is turning out to be an incredibly rich source of information, revealing, e.g., that a marketing consultant hired by the BID thinks, among other deeply stupid thoughts, that lobster rolls confuse Latinos. And today I have another gem, but, for good or for ill, this one’s more technical although no less interesting.

Perhaps you recall that Urban Place Consulting is working for the Fashion District coordinating the BID’s pending renewal with the City. I obtained UPC’s contract with the BID from Rena Leddy via the California Public Records Act, but she claimed that the chart showing the actual hourly rates of UPC bossboy Steve Gibson and his assorted flunkies was exempt from release because it was a trade secret. Then we spent three months arguing about it and everybody got lawyered up and eventually she gave in and sent me an unredacted copy of the contract showing how much money all the UPC folks were getting paid.

Well, it turns out it was all for nothing. You see, in October 2016, UPC submitted a proposal to the BID for the consulting job. Here is a copy (transcription after the break, as always). And Rena Leddy included this proposal in the November 2016 Board Packet. And the proposal contained an unredacted copy of the cost matrix. Newly Obtained Documents Reveal That The Hollywood Media District BID Is Paying Urban Place Consulting $1,550.35 More Than The Fashion District BID Is Paying For Renewal Services Because UPC Is Billing Assistants At 20% More! Jeff Briggs Supplies Unredacted UPC Labor Matrix Without Requiring A Freaking Demand Letter! Aaron Aulenta Isn’t As Much Of A “Tech Dinosaur” As Previously Claimed!

You may recall that as part of my long term project to turn as many BID consultants as possible in to the City Ethics Commission for unregistered lobbying, I’ve been trying to track down consulting contracts and other such evidence. I obtained a lot of excellent information from the San Pedro Historic Waterfront BID and, after a prolonged struggle, chronicled in excessive detail here, I obtained an unredacted copy of Urban Place Consulting’s contract with the Fashion District BID.

In the course of that whole mishegoss I had to overcome FDBID executive directrix Rena Leddy’s ultimately untenable position that the so-called “labor matrix,” a chart which detailed how much time UPC meant to spend on each aspect of the BID renewal process and how much they were to be paid for it,1 was a trade secret. Among the many cogent arguments we used2 was the evident fact that labor costs couldn’t possibly be trade secrets because UPC would of necessity have to share them with prospective clients before a contract was signed. This was a purely logical argument, but now, thanks to a huge trove of records shared with me this evening by the Media District BID and relating to their renewal process, also being handled by UPC, I have definitive proof.

The Hollywood Chamber Of Commerce Amended Its Lobbying Registration Form in April 2017 And The Only Change Was The Date They Qualified — More Interesting, Though, Is The Fact That They Consider Their Pro-Establishment Advocacy For Jeff Zarrinnam’s Inchoate Hollywood-Western And Route 66 BIDs To Be Lobbying Activity

It’s well-known that the Municipal Lobbying Ordinance requires lobbyists of all stripes to register with the City Ethics Commission. The Hollywood Chamber of Commerce is no exception to the rule.1 They are also required to amend their registration forms if there are any material changes in the information provided.2

And as you know if you follow this blog, I find everything to do with lobbyists in Los Angeles fascinating, and thus I haunt the Ethics Commission’s lobbying pages, poring over the alphabetical lists of individual lobbyists and of lobbyist firms and employers to see if anything’s changed or if something is newly interesting.

And lo! Last night I noticed that our old friends, the Hollywood Chamber of Commerce, had amended their registration form on April 28. Here are the two forms:

Well, I stared and stared and stared at those two forms just trying to figure out what had changed. Eventually I noticed that the original form had January 31, 2017 as the date they’d qualified as a lobbying entity3 whereas the amended version had January 1, 2017 as the day of qualifying.

There’s a lot of information on the forms, though, and I didn’t feel confident that the difference I’d noticed was in fact the only difference. I wasn’t sure what do to until this morning, when it occurred to me that if I put both pages into the GIMP, superimposed one on top of the other, and then faded the opacity up and down I’d be able to notice what changed.4 And it turns out that in fact, it’s correct that the only change was the date of the Hollywood Chamber’s qualifying as a lobbyist.

Which leads irresistibly to the question of why Leron Gubler and/or Nicole Shahenian, who are the Hollywood Chamber’s two registered lobbyists, felt the need to make this tiny change. The Fascinating Story Of How It Took Three Months And A Demand Letter From An Attorney To Get Rena Leddy To Disclose That The Fashion District BID Is Paying Steve Gibson Of Urban Place Consulting $215 Per Hour For BID Renewal Consulting, Which Is Less Than Larry Kosmont Gets But More Than Ed Henning

Late last year it occurred to me that BID consultants, who help BIDs with the City processes necessary to establish or renew a BID, are essentially engaging in lobbying activity as defined in the Municipal Lobbying Ordinance at LAMC §48.02 and yet none of them1 seemed to be registered with the Ethics Commission as required by LAMC §48.07(A).

I then spent months piecing together over 100 pages of evidence to show that BID consultant Tara Devine had violated this law. Subsequently it occurred to me that the contracts that the consultants sign with BIDs would provide essential evidence that they’d been acting as lobbyists, so I determined to request these from many renewing BIDs. This led me to the discovery, thanks to the incomparable Laurie Hughes of the Gateway to LA BID, that GTLA’s BID consultant, Larry Kosmont, actually was registered as a lobbyist and had disclosed his BID consultancy as lobbying in his required reporting. The San Pedro BID is also up for renewal, and has recently released a fairly complete set of BID renewal records.

This brings us to the Fashion District. On February 21, 2017 I emailed Rena Leddy to request, among other material:

… all records associated with the renewal process, including but not limited to communications between the BID and the consultant and/or the engineer, contracts with and invoices from the consultant or the engineer, materials prepared by the consultant or the engineer for the renewal process, databases and mailing lists prepared or used by the consultant or the engineer, and also any communications between the consultant and the engineer that aren’t already responsive to the first part of this request.

Relatively Complete Set Of Records Pertaining To Ongoing San Pedro Historic Waterfront BID Renewal Process Reveals Hitherto Unknown Details About Costs, Hours, Contract Terms, Etc. Heralding Plausible Case Against Edward Henning For Failure To Register As A Lobbyist But Not, Unfortunately, Against The BID Because They’re Not Paying Him Enough

Last month I learned that the San Pedro BID was paying Edward Henning $20,000 to handle their BID renewal process. This discovery was independently interesting, but also important for my ongoing research project of learning everything possible about BID consultancy with the ultimate goal of shopping as many BID consultants to the City Ethics Commission as possible, mostly for violations of LAMC §48.07, which requires that “[a]n individual who qualifies as a lobbyist shall register with the City Ethics Commission within 10 days after the end of the calendar month in which the individual qualifies as a lobbyist.”

In this clause, someone “qualifies as a lobbyist” when they, according to LAMC §48.02 are “compensated to spend 30 or more hours in any consecutive three-month period engaged in lobbying activities.”1 Note that today I’m mostly skipping the argument that BID consultancy qualifies as lobbying activities, but you can read about it in excruciating detail here.

Part of the evidence that I obtained last month were these two invoices from Edward Henning to the SPHWBID. As you can see, they span the time period from March 2016 through December 12, 2016 and bill for a total of 75 hours. That’s roughly 7.5 hours per month if distributed evenly across the billing period. This is not enough evidence to show that Edward Henning was required to register. In fact, if he did work about 7.5 hours a month he would not have been so required.

It’s precisely that issue that today’s document release shines some light on. The other day, San Pedro BID executive directrix Lorena Parker was kind enough to send me over 100 emails to and from Edward Henning.2 At first I thought I’d be able to pick out 3 consecutive months in which Edward Henning was compensated for 30 hours by assuming that the number of emails in a month was proportional to the number of hours worked. This didn’t pan out for a number of reasons, not least because I don’t yet have emails between Edward Henning and the City of LA that weren’t CC-ed to Lorena Parker. I can tell from internal evidence that there are some of these,3 and I have a pending CPRA request for them, but they’re not yet in hand.

Read on for more detail on the unregistered lobbying case as well as a new theory that I thought at first might actually get the BID itself in some trouble rather than just the consultant. I don’t think it’ll work out in this particular case, but it has interesting implications for the future. Bad scene for the BIDdies and lulz4 all round for humanity!

More than 200 MB Of New Hand-Scanned Documents From Figueroa Corridor BID and North Hollywood BID, Heavily Redacted For No Discernable Reason, But Interesting Nevertheless!

For the last few months I’ve been posting a lot of records from:

But I haven’t discussed the fact that these releases weren’t complete. In each case, Aaron Aulenta of Urban Place Consulting, who seems to be in charge of both of these BIDs, claimed numerous exemptions to the Public Record Act and told me that there was a bunch of material that he was printing out and redacting by hand on the basis of these exemptions.

Well, for various reasons I wasn’t able to get over to the offices of the FCBID to look at this stuff until Tuesday. Aaron Aulenta was kind enough to let me scan it instead of paying the usual outrageous copying fees that BIDdies habitually claim to be allowed to collect, and, after some minimal processing, I’m pleased to announce that it’s now available on Archive.Org. There’s some pretty interesting stuff in there, but it turns out that in this case the most interesting stuff is what’s not in there.

That is to say, the most interesting aspect of this release is what Aaron Aulenta thought that he was justified in redacting. Perhaps you recall that the California Public Records Act only allows for material to be redacted or withheld if one or more of the explicit enumerated exemptions to be found in the statute applies. There’s one exception to this principle, to be found in the infamous §6255(a), which states:

The agency shall justify withholding any record by demonstrating that the record in question is exempt under express provisions of this chapter or that on the facts of the particular case the public interest served by not disclosing the record clearly outweighs the public interest served by disclosure of the record.

As you can imagine, BIDdies1 freaking love this last bit. It’s the most abused section of the law, with BIDdies, stoned out of their minds on white privilege and steeped in their delusional2 theory that laws are written and enforced for no better reason than to preserve and augment their power and wealth, claiming randomly that pretty much any piece of information they feel might embarrass them or their lackeys is exempt under this so-called public interest exemption.

For your future reference, there are at least two dispositive signs that this clause is being misused. First, they will refuse to state what public interest they feel is clearly being served by their withholding of the information. You’ll note that the law requires them to make this judgment on the particular facts of the case, which do not, can not, include a vague wave of the hand towards a claim of “I don’t heart that.”

Second, they will state semantically empty summary phrases which purport to refer to actual exemptions but, in fact, do not. Aaron Aulenta’s favorite of these seems to be “the benefit does not outweigh the burden.” It’s not exactly clear what the hell he’s thinking when he says this, and getting my hands on all these redacted documents has made it less rather than more clear, as you will see from the specific examples to be found after the break.
