It Appears That East Hollywood BID Director Nicole Shahenian Lied To Los Angeles City Clerk Holly Wolcott About The Circumstances Of The Preparation Of The EHBID’s 2015 Annual Planning Report And, As Shahenian Was A Registered Lobbyist At The Time, Thereby Violated LAMC 48.04(B)

Nicole Shahenian, you got some splainin’ to do!
The background to this post is unavoidably technical and lengthy. If you’re already familiar with the Annual Planning Report process for BIDs as mandated by Streets and Highways Code §36650, you may want to skip directly to the report I submitted to the City Ethics Commission this morning.

One requirement that the Property and Business Improvement District Law places on BIDs, found at §36650, is the submission of annual planning reports (“APRs”) to the City Council:

The owners’ association shall cause to be prepared a report for each fiscal year, except the first year, for which assessments are to be levied and collected to pay the costs of the improvements, maintenance, and activities described in the report. … The report shall be filed with the clerk … The city council may approve the report as filed by the owners’ association or may modify any particular contained in the report and approve it as modified.

And it seems that the BID isn’t allowed to spend money on stuff that’s not discussed in the APR, so it’s not a trivial matter.

The way this piece of code plays out in Los Angeles is that, first, a BID director submits the APR to the Clerk along with a formulaic cover letter. For instance, here is the one submitted by Nicole Shahenian on December 30, 2014 to accompany the East Hollywood BID’s APR for 2015. This is essentially the same letter submitted by all BIDs:

Dear Ms. Wolcott:
As required by the Property and Business Improvement District Law of 1994, California Streets and Highways Code Section 36650, the Board of Directors of the East Hollywood Business Improvement District has caused this East Hollywood Business Improvement District Annual Planning Report to be prepared at its meeting of December 29, 2014.

And don’t forget that state law requires the City Council to adopt the report either with or without modifications. In Los Angeles this part of the process is initiated by the Clerk sending another form letter to City Council, recommending that they adopt the BID’s APR. It’s my impression that the Clerk doesn’t recommend modifications to the report at this stage. These seem to be handled by Miranda Paster before the APR is submitted to Council, as in this example involving the Media District BID. Anyway, take a look at Holly Wolcott’s January 14, 2015 recommendation to City Council with respect to the East Hollywood BID’s APR. Like every such document, this states:

The attached Annual Planning Report, which was approved by the District’s Board at their meeting on December 29, 2014, complies with the requirements of the State Law and reports that programs will continue, as outlined in the Management District Plan adopted by the District property owners.

And it goes on from there to recommend:

That the City Council:

  1. FIND that the attached Annual Planning Report for the East Hollywood Property Business Improvement District’s 2015 fiscal year complies with the requirements of the State Law.
  2. ADOPT the attached Annual Planning Report for the East Hollywood Property Business Improvement District’s 2015 fiscal year, pursuant to the State Law.


But there are a number of problems with this story. First, it appears that the East Hollywood BID Board of Directors did not actually meet on December 29, 2014. In fact, it appears that they did not meet at all in December 2014. Of course, it’s notoriously difficult to prove a negative, but I’m going to give it a go.

Is There Such A Thing As An Honest Lobbyist? Probably Not, But Nevertheless, Larry Kosmont Handled The Gateway To LA BID’s Recent Renewal And Registered With The Ethics Commission To Do So, Casting Further Doubt On Any Theory That Implies That Shadowy BID Consultant Tara Devine Was Not Also Required To Register

We’ve been discussing BID consultants a lot recently because of shadowy BID consultant Tara Devine and the fact that it looks so much like BID consultancy satisfies the LAMC’s definition of lobbying that it’s very likely that she broke the laws requiring registration, causing me, in the throes of a well-developed sense of civic duty, to report her transgressions to the Ethics Commission and then again to report some associated transgressions to Mike Feuer. What will come of these matters no one can now know, of course, but one aspect that troubled me slightly is the apparent novelty of the charges. That is, all the BID consultants I knew of at the time weren’t registered. This doesn’t mean they don’t have to register. After all, consider what happened with BID security and the Police Commission as a result of our reporting. But nevertheless, one never wants to be the first to make an argument if it’s possible to avoid it.

So imagine my pleasure in discovering that, first, the famous Gateway to LA BID, one of Mike Bonin’s babies out there by the Airport in CD11, renewed for 10 years in 2015, and they used a BID consultant named Larry Kosmont to handle the process for them. And second, that Larry Kosmont was not only registered as a lobbyist during this process, but that he specifically, explicitly, disclosed his work for the Gateway BID to the City and specifically, explicitly listed the City Clerk as one of the City offices he’d lobbied in furtherance of the renewal project. This is going to make it a lot harder for Tara Devine and her defenders, if any she has by now, to argue that it never occurred to anyone that BID consultants were lobbyists and therefore subject to registration. Open Letter To Holly Wolcott and Miranda Paster Concerning Tara Devine’s Misleading Everyone With Her Discredited “Zoning Not Use” Theory

Here’s a letter I sent this morning to Holly Wolcott and Miranda Paster about Tara Devine misleading everyone with respect to the question of whether commercial properties were necessarily included in the Venice Beach BID. There’s a transcription after the break, as always, for the PDF averse.

This is a fairly serious matter, and actually illegal if it turns out to be the case that Tara Devine was required to register as a lobbyist last year, as I have alleged that she was. The point is that since the Clerk’s office is supposed to oversee BIDs, they ought to oversee BID consultants as well, and since both honesty and integrity are explicit criteria for qualifying as a BID consultant perhaps these two ought to look into whether Tara Devine is actually qualified. How I Reported Shadowy BID Consultant Tara Devine To Los Angeles City Attorney Mike Feuer For Knowingly And Fraudently Deceiving Mike Bonin With Regard To A Material Fact Pertinent To The Establishment Of The Star-Crossed Venice Beach BID

“I’ll be damned if I’m ever going to say, ‘It’s not my job,’” Feuer told the Times editorial board. We like that attitude. All L.A. residents should.
If you want to skip the explaining and go straight to the complaint, here it is.

Friends, take a look at the exceedingly fascinating LAMC § 48.04(B). This lovely little slab of ethicalliciousness illegalizes any occasion when a lobbyist might:

Fraudulently deceive or attempt to deceive any City official with regard to any material fact pertinent to any pending or proposed municipal legislation.

And of course, you recall what a lobbyist is, it’s a technical term in this setting.1 Lobbyists are defined in LAMC §48.02 to be:

any individual who is compensated to spend 30 or more hours in any consecutive three-month period engaged in lobbying activities which include at least one direct communication with a City official or employee, conducted either personally or through agents, for the purpose of attempting to influence municipal legislation on behalf of any person.

Well, as you may recall, I spent the last two months assembling a highly detailed argument that Tara Devine met this definition. If that’s right, and I certainly think that it is, she’s also forbidden from fraudulently deceiving Mike Bonin, e.g., about material facts in regard to the formation of the Venice Beach BID which, as I’m sure you know, requires legislation for the BID to be brought into existence.

The argument is that she got everyone to believe that it was required under state law to include commercially zoned properties in the BID, even though not only is this not true, not only did she know it was not true, but her having convinced everyone of this led to more properties being in the BID, which increased the amount of money under the control of her clients, the Venice Beach Property Owners Association. Mitch O’Farrell’s Universally-Reviled, Kerry-Morrison-Inspired Anti-Playground-Access Motion Is Roundly Opposed But For The First Time Not Unanimously By Los Feliz Neighborhood Council, Which In Context May Be Seen As A Sorely Needed Victory For Mitch, Who Has To Play ‘Em As They Lay In This Debacle

This is a playground in Griffith Park, which if the Los Feliz Neighborhood Council has its way will continue to be open to all Angelenos, whether or not they remembered to bring a child before using the swing set.
BACKGROUND: Recall, if you will, that this L.A. Times editorial kicked off a somewhat misguided firestorm of opposition to Mitch O’Farrell’s recent Council motion 16-1456 seeking to develop a legal tool for banning adults without children from playgrounds in parks in the City of Los Angeles.

The latest development is that the Los Feliz Neighborhood Council registered its opposition to this Kerry-Morrison-of-the-HPOA-inspired trainwreck of a motion with this eloquent statement:

A city ordinance banning adults from accessing a public playground/park area unless “accompanying a child” would unfairly penalize people by virtue of their age and deny them a public benefit afforded to others. The proposal, by its very nature, seems unduly discriminatory, and fraught with enforcement problems.

Instituting an overreaching policy by penalizing a vast majority of law‐abiding citizens in what is generally regarded as “park‐poor” city is counterintuitive. It seems to be motivated out of allaying a fear rather than ensuring a freedom. Nor does it currently contemplate the dozens of gray areas it will create regarding how it will be administered (playground boundaries, proof of age, proof‐of-guardianship, etc.), and the discord it will sow by awkward attempts to enforce it.

All good points.2 The big difference in tonight’s case is that one person actually voted against the motion to oppose,3 which means, I guess, that besides Kerry Morrison, at least one other resident of the City of Los Angeles stands with Mitch on this issue. Perhaps this will teach Mitch that it’s not always safe to do what she asks… but probably not.

Newly Obtained Email Proves That Mike Bonin Considered Moving Venice Beach BID Hearing To November 29 From Disputed Date of November 8

After a chaotic hearing on the Venice Beach BID in August,4 after Legal Aid Foundation of Los Angeles powerhouse attorney Shayla Myers pointed out that the process was legally flawed, and after City Attorney Mike Feuer accepted her argument and told the City Council that they’d better have a do-over, after all that, the rehearing on the abhorrent BID was scheduled to be approved considered in Council on November 8, 2016. This, of course, is also the day that Americans will be deciding the future of the world, which takes up a lot of time. Venice being Venice, there has been a lot of speculation about whether Bonin did this on purpose to make it difficult for detractors to testify. Venice also being Venice, there has been an organized effort to get Bonin to postpone the hearing.

Such protests usually fall on what seem like deaf ears, but in this case, an email that I obtained last night from the City Clerk’s office proves that, in September 2016, Mike Bonin was considering moving the hearing from the disputed date of November 8 to the presumably more acceptable dates of November 29 and 30. A Bunch Of Interesting New Documents: City Attorney, LA Times, And Sanitation Reports From Encampment Cleanups

This is just a quick announcement of some interesting new collections of records, with minimal commentary. First of all, there’s a collection of emails between City Attorney spokesman5 Rob Wilcox and various L.A. Times Reporters. You can get the whole batch here:

Also I have a full set of reports6 from the Bureau of Sanitation on the cleanups of three homeless encampments on March 22, 2016. It took almost three months for them to hand over this material, which won’t surprise anyone who’s been following my recent interactions with them. This is likewise available from:

I don’t presently have much to say about the sanitation reports. At this point I’m collecting as much material as possible in order to (a) figure out what kind of material is available so that I’ll be able to make focused, effective requests in the future, (b) learn what kinds of arguments they make against handing over records so that I can make focused, effective counterarguments against them, and (c) understand all the players in the HE7 game and the roles they’re playing. I hope to be able to synthesize all of this at some point, but meanwhile I want to make the records available because I know smarter people than I are also reading them.

But I do have this and that to say about the emails,8 and after the break you will find commentary and links to interesting individual instances.

Did you even know that the members of our esteemed City Council all send one another and various other people gifts in the putative holiday season? Well they do, and evidently it’s just another thing that the pretty people do when they’re all drinking, thinking that they got it made.9

The City Ethics Commission requires City officials to keep track of these presents, and so, in response to a CPRA request, I received these records from Chad Molnar the other day, despite his claim that fulfilling my more substantial requests would make CD11 constituents suffer. Perhaps he sent these items along because they aren’t likely to make the constituents, who thrive in darkness and secrecy and evidently include outlaw BID proponents Mark Sokol and Carl Lambert, suffer too much, because they have very little content. However, what they do have is fairly amusing. You can get them:

Well, it turns out there’s this company called AMCAL Housing, and according to their about-us page they build affordable housing in exchange for tax breaks, or some such thing. They’re building a big project at Vermont and Beverly10 called the Meridian Apartments, and they broke ground officially on February 11, 2016, with Mitch O’Farrell scheduled to speak at the ceremony.

Thus, on February 1, 2016, Paige Horn of AMCAL Housing emailed Marisol Rodriguez, Dave Cano, Juan Fregoso, all of CD13, and some people from Korean Churches for Community Development, which is working with AMCAL on this project, telling them:

Thank you all for your participation in the Meridian Groundbreaking Event on Thursday, February 11th at 11am! … There should be ample street parking, however, I have reserved VIP Parking for all speakers at the lower parking lot of Hubbard College of Administration that can be accessed from Juanita Avenue.

But local knowledge counts for a lot. The very next day, our very own Juan Fregoso emailed Victor Gutierrez (#26802) with a cc to Matthew Ziegler (#34208)11 to report:

Hi Vic,
Here is the info for the event on the 11th.

We have CSI12 scheduled for February 9th.

As you can see, VIPs will park on Juanita and will have to walk through the encampment.

Me and Marisol are working to see how to address this but wanted to flag the event.

And amazingly enough, I have a copy of the lengthy email chain between Juan Fregoso, Marisol Rodriguez, and a bunch of people from the L.A. Sanitation department showing exactly what those two CD13 stalwarts were doing “to see how to address this.” You can probably guess what’s coming, because if VIPs (?!) have to walk near homeless people, something’s gotta give, and it ain’t gonna be the VIPs,13 You’d be right, and you can read the sordid details after the break!

You may recall that I’ve been writing about potentially illegal campaign contributions made by Venice Beach BID propenents Mark Sokol and Carl Lambert. That’s the supply side. Tonight I’m hitting up the demand side. Here are PDFs of three letters I sent this evening (all cc-ed to Mike Feuer just in case), and you can read the one to the nine sitting members of the City Council who accepted donations from Sokol and Lambert below. I hope to have a complaint in to the City Ethics Commission by the end of the week.
